Terms of Service

Please read these terms carefully before using our service

1. Agreement to Terms

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING OUR SERVICE.

By accessing, browsing, or using FastPedia (the "Service," "Site," "Platform," or "Website"), operated by FastPedia and its affiliates, subsidiaries, and related entities ("FastPedia," "we," "us," or "our"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms," "Agreement," or "TOS"), as well as our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICE.

These Terms constitute a legally binding agreement between you and FastPedia. By using the Service, you represent and warrant that:

  • You are at least 18 years of age or have reached the age of majority in your jurisdiction
  • You have the legal capacity to enter into binding contracts
  • You are not prohibited from using the Service under applicable laws
  • All information you provide is accurate, current, and complete

THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 12, WHICH AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.

2. Description of Service

FastPedia is an online directory, information aggregator, and discovery platform focused on artificial intelligence tools, software, services, and technologies (collectively, "AI Tools"). The Service provides:

  • Directory listings and information about third-party AI Tools
  • User reviews, ratings, and comments about AI Tools
  • Search, filtering, and comparison features
  • Educational content, articles, and resources about AI
  • Links to external websites and third-party services
  • Newsletter and communication services

CRITICAL DISCLAIMER: FastPedia is an informational directory and content platform only. We do NOT:

  • Own, operate, control, develop, or maintain any listed AI Tools
  • Provide, sell, license, or distribute AI Tools to users
  • Guarantee the accuracy, completeness, reliability, legality, safety, or quality of any AI Tool
  • Endorse, warrant, recommend, or vouch for any AI Tool or third-party service
  • Have any business relationships, partnerships, or affiliations with listed AI Tools (except where explicitly disclosed as sponsored or affiliate content)

No AI Tool Warranties

FastPedia makes NO representations or warranties of any kind regarding third-party AI Tools, including but not limited to:

  • Accuracy: AI Tools may produce inaccurate, misleading, false, or fabricated information
  • Legality: AI Tools may violate intellectual property rights, export controls, or other laws in certain jurisdictions
  • Safety: AI Tools may pose security, privacy, or safety risks to users and organizations
  • Functionality: AI Tools may malfunction, produce harmful outputs, or fail to perform as described
  • Availability: AI Tools may be discontinued, become unavailable, or change without notice
  • Compliance: AI Tools may not comply with industry regulations (GDPR, HIPAA, CCPA, etc.)
  • Ethics: AI Tools may exhibit bias, discrimination, or produce ethically problematic content

Service Modifications

We reserve the right, at our sole discretion, to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason, including but not limited to maintenance, upgrades, or business decisions. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. Use of the Service

License Grant

Subject to your compliance with these Terms, FastPedia grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use only. This license does not include any rights to:

  • Reproduce, distribute, modify, or create derivative works from the Service
  • Use the Service for any commercial purpose without our express written permission
  • Resell, sublicense, or otherwise monetize access to the Service
  • Access the Service through automated means (except with explicit permission)

Prohibited Conduct

You expressly agree NOT to:

Legal and Compliance Violations

  • Use the Service in any manner that violates any applicable federal, state, local, or international law or regulation
  • Violate export control laws or regulations
  • Engage in any activity that infringes or misappropriates the intellectual property rights of others
  • Transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, or invasive of another's privacy
  • Engage in any form of discrimination, hate speech, or harassment

Technical Abuse and Security

  • Scraping and Data Harvesting: Use any robot, spider, crawler, scraper, or other automated means to access, extract, or harvest data from the Service
  • Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service
  • Security Breaches: Attempt to gain unauthorized access to the Service, user accounts, computer systems, or networks
  • Malicious Code: Introduce viruses, trojans, worms, logic bombs, ransomware, spyware, or other malicious or technologically harmful material
  • Bypass Measures: Circumvent, disable, or interfere with security features, access controls, rate limits, or usage restrictions
  • DDoS/Overload: Overload, flood, spam, or disrupt the Service or its infrastructure
  • Network Interference: Interfere with or disrupt the Service, servers, or networks connected to the Service

Impersonation and Fraud

  • Impersonate FastPedia, our employees, partners, or other users
  • Use false, misleading, or deceptive identities or information
  • Engage in phishing, spoofing, or other fraudulent activities
  • Create multiple accounts to evade restrictions or bans

Competitive and Commercial Restrictions

  • Competing Services: Use the Service to develop, support, or operate a competing AI tools directory, database, or service
  • Data Aggregation: Aggregate, compile, or create databases using data from the Service
  • Commercial Scraping: Extract data for commercial purposes, including creating derivative products or services
  • AI Training: Use content from the Service to train machine learning models or AI systems without express written permission
  • Benchmarking: Conduct competitive analysis or benchmarking without prior written consent

Misuse and Abuse

  • Post spam, advertisements, or unsolicited promotional content
  • Submit false, misleading, or fraudulent reviews or ratings
  • Manipulate voting, rating, or ranking systems
  • Use the Service to send unsolicited communications to other users
  • Encourage or enable any violations of these Terms

Account Registration and Security

Some features of the Service may require you to create an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account
  • Not share your account with others or allow others to access your account

You are solely responsible for any and all activities conducted through your account, whether authorized by you or not. We reserve the right to disable any account at any time for any reason, including violation of these Terms.

User Conduct Standards

When using the Service, you agree to conduct yourself in a professional and respectful manner. You will not:

  • Engage in abusive, threatening, or harassing behavior toward other users or our staff
  • Post content that is offensive, inappropriate, or violates community standards
  • Interfere with other users' enjoyment of the Service
  • Attempt to manipulate or game the Service for unfair advantage

4. Intellectual Property Rights

FastPedia's Intellectual Property

The Service and all of its content, features, functionality, design elements, and materials, including but not limited to text, graphics, logos, icons, images, audio clips, video, data compilations, software code, algorithms, user interfaces, visual interfaces, trademarks, service marks, trade names, and trade dress (collectively, "FastPedia Content"), are owned by FastPedia, its licensors, or other content providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

All rights not expressly granted to you in these Terms are reserved by FastPedia.

Prohibited Uses of Intellectual Property

You may not, without FastPedia's prior written permission:

  • Copy, reproduce, distribute, republish, download, display, post, or transmit any FastPedia Content
  • Modify, create derivative works from, reverse engineer, or decompile the Service
  • Use any FastPedia trademarks, logos, or brand elements in any manner
  • Frame or mirror any part of the Service on another website
  • Use any meta tags or hidden text utilizing FastPedia's name or trademarks
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use the Service or FastPedia Content for any commercial purpose
  • Scrape, crawl, or systematically retrieve data or content from the Service

User-Generated Content License

When you submit, post, upload, or otherwise make available any content on the Service, including reviews, comments, ratings, feedback, suggestions, or other materials ("User Content"), you grant FastPedia and its affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable license to:

  • Use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in any media formats and through any media channels
  • Sublicense these rights to third parties, including service providers, partners, and affiliates
  • Use your name, likeness, and other identifying information in connection with your User Content
  • Use User Content for marketing, promotional, and commercial purposes
  • Incorporate User Content into other works, databases, or compilations

This license continues even if you stop using the Service or delete your account. You waive any moral rights or attribution rights you may have in your User Content.

User Content Representations and Warranties

By submitting User Content, you represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to grant the above license
  • Your User Content does not infringe, violate, or misappropriate any third-party intellectual property, privacy, publicity, or other proprietary rights
  • Your User Content does not violate any applicable laws or regulations
  • Your User Content does not contain viruses, malware, or other harmful components
  • Your User Content is not false, misleading, defamatory, obscene, or otherwise objectionable
  • You have obtained all necessary consents from any persons featured in your User Content

Third-Party Intellectual Property

Certain content on the Service, including AI tool names, descriptions, logos, and screenshots, may be the intellectual property of third parties. We display this content for informational purposes under fair use principles or with permission. If you believe your intellectual property rights have been violated, please see Section 11 (DMCA Copyright Policy).

Feedback and Suggestions

If you provide FastPedia with any feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you grant FastPedia a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and exploit such Feedback for any purpose without compensation or attribution to you.

5. Third-Party Links and Services

Third-Party Links Disclaimer

The Service contains links to third-party websites, applications, services, and AI Tools ("Third-Party Services") that are not owned, operated, controlled, or maintained by FastPedia. These links are provided solely for your convenience and informational purposes.

FASTPEDIA HAS NO CONTROL OVER, AND ASSUMES NO RESPONSIBILITY OR LIABILITY FOR, ANY THIRD-PARTY SERVICES, INCLUDING:

  • Content, accuracy, completeness, or reliability of information
  • Privacy policies, data collection, or data handling practices
  • Terms of service, pricing, or business practices
  • Functionality, availability, or performance
  • Security measures or data protection
  • Legal compliance with applicable laws and regulations
  • Fitness for any particular purpose

No Endorsement

The inclusion of any link to a Third-Party Service does not imply endorsement, approval, recommendation, or sponsorship by FastPedia. We make no representations or warranties regarding Third-Party Services. Your use of any Third-Party Service is entirely at your own risk.

User Responsibility

Before using any Third-Party Service, you are solely responsible for:

  • Reading and understanding the third party's terms of service and privacy policy
  • Evaluating the security, safety, legality, and appropriateness of the service
  • Conducting due diligence regarding the service provider
  • Assessing any risks associated with using the service

Affiliate and Referral Relationships

IMPORTANT DISCLOSURE: FastPedia may receive compensation, referral fees, commissions, or other financial benefits when you click on certain links or sign up for Third-Party Services through our platform. These relationships may be labeled as "Sponsored," "Partner," "Affiliate," or with similar designations, but not all compensated relationships may be explicitly labeled.

Affiliate relationships do not influence our editorial content or directory inclusion criteria. However, we may prioritize or feature compensated listings in certain areas of the Service.

Third-Party Changes

FASTPEDIA, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS (COLLECTIVELY, THE "FASTPEDIA PARTIES") EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • Implied Warranties: Merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade
  • Accuracy: The accuracy, reliability, completeness, currentness, or timeliness of any content, information, or data
  • Performance: That the Service will be uninterrupted, timely, secure, or error-free

FASTPEDIA PARTIES MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THIRD-PARTY AI TOOLS LISTED ON THE SERVICE, INCLUDING:

  • Safety, security, or privacy protections
  • Accuracy or reliability of AI-generated outputs
  • Compliance with applicable laws, regulations, or industry standards
  • Availability, uptime, or continued operation
  • Ethical use, bias mitigation, or fairness
  • Suitability for any particular use case or industry
  • Freedom from intellectual property infringement claims

No Professional Advice

The Service is not intended to provide, and does not constitute, legal, financial, medical, technical, or professional advice of any kind. Any content or recommendations on the Service are for informational purposes only. You should consult with appropriate professionals before making decisions based on information obtained through the Service.

User-Generated Content Disclaimer

FastPedia does not endorse, verify, or guarantee the accuracy, reliability, or completeness of any user-generated content, including reviews, ratings, comments, or recommendations. User opinions do not reflect the views of FastPedia.

No Guarantees

Your use of the Service is at your sole risk. The FastPedia Parties do not guarantee that:

  • The Service will meet your requirements or expectations
  • Access to the Service will be continuous or uninterrupted
  • Information on the Service is current, accurate, or up-to-date
  • Any AI Tool listed will be available, functional, or suitable for your needs
  • User accounts, data, or content will be secure or preserved

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, some of the above exclusions may not apply to you, but they will apply to the fullest extent permitted by law.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE FASTPEDIA PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, income, or business opportunities
  • Loss of data, files, or content
  • Loss of use, goodwill, or reputation
  • Cost of procurement of substitute goods or services
  • Business interruption or loss of productivity
  • Personal injury, property damage, or emotional distress
  • Any other pecuniary or non-pecuniary loss or damage of any kind

REGARDLESS OF:

  • The legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise)
  • Whether we were advised of the possibility of such damages
  • Whether such damages were reasonably foreseeable

Causes of Liability Exclusion

The above limitations apply to any damages or liability arising out of or related to:

  1. Your access to, use of, or inability to access or use the Service
  2. Any conduct or content of any third party on the Service, including Third-Party AI Tools
  3. Any content obtained from the Service, including inaccurate, incomplete, or misleading information
  4. Unauthorized access, use, or alteration of your transmissions, data, or content
  5. Statements or conduct of any third party on the Service
  6. Security breaches, data breaches, or hacking incidents
  7. Viruses, malware, or other harmful code transmitted through the Service
  8. Errors, omissions, or inaccuracies in any content or materials
  9. Interruptions, delays, or cessation of Service availability
  10. Your reliance on any information, advice, or recommendations on the Service
  11. Your use of any Third-Party Service accessed through our Service
  12. Deletion of, corruption of, or failure to store any content or data
  13. Your violation of these Terms or any applicable law
  14. Any other matter relating to the Service

Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE FASTPEDIA PARTIES FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • One hundred dollars ($100.00 USD), OR
  • The total amount you paid to FastPedia in the twelve (12) months preceding the event giving rise to the claim

For users who have not paid any fees to FastPedia, our maximum liability shall not exceed $100.00 USD.

Essential Purpose

The limitations of liability set forth in this Section 7 are fundamental elements of the basis of the bargain between FastPedia and you. These limitations shall apply even if any limited remedy fails of its essential purpose.

Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, the above limitations or exclusions may not apply to you, but they shall apply to the maximum extent permitted by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless the FastPedia Parties from and against any and all claims, demands, actions, suits, proceedings, investigations, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees, expert fees, and litigation costs) arising out of or relating to:

  • Your access to or use of the Service
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property, privacy, publicity, or other proprietary rights
  • Any User Content you submit, post, or transmit through the Service
  • Your fraudulent, negligent, or willful misconduct
  • Your use of any Third-Party Service accessed through our Service
  • Any representations or warranties you make regarding your use of the Service
  • Your breach of any representation, warranty, or covenant in these Terms
  • Any dispute you have with another user
  • Any claim that your User Content caused damage to a third party

Indemnification Procedures

FastPedia reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of these claims. You will not settle any claim that affects FastPedia without our prior written consent.

Survival

Your indemnification obligations under this Section 8 will survive termination of these Terms and your use of the Service.

9. Termination

Termination by FastPedia

We reserve the right, in our sole discretion, to terminate, suspend, restrict, or disable your access to the Service (or any part thereof) immediately, without prior notice, warning, or liability, for any reason or no reason, including but not limited to:

  • Violation of these Terms or any applicable law
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies
  • Unexpected technical issues or security concerns
  • Discontinuance or material modification of the Service
  • At our sole discretion without any specific reason

Termination by You

You may stop using the Service at any time. If you have an account, you may request account deletion by contacting [email protected].

Effect of Termination

Upon termination or suspension, whether by you or by us:

  • Your right to access and use the Service will immediately cease
  • We may delete your account, content, and data without liability
  • We are under no obligation to retain, forward, or return any of your content or data
  • All licenses granted by you under these Terms will continue (they are perpetual and irrevocable)
  • You remain liable for all obligations you incurred prior to termination

Survival

The following sections shall survive termination of these Terms: Intellectual Property Rights (Section 4), Third-Party Links (Section 5), Disclaimer of Warranties (Section 6), Limitation of Liability (Section 7), Indemnification (Section 8), Governing Law and Dispute Resolution (Sections 10-12), and any other provisions which by their nature should survive.

No Liability for Termination

FastPedia shall not be liable to you or any third party for any termination, suspension, or modification of your access to the Service.

10. Modifications to Terms

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time for any reason, including but not limited to complying with legal requirements, improving Service operations, or addressing security concerns.

Notice of Changes

When we make material changes to these Terms, we will:

  • Update the "Last Updated" date at the bottom of this page
  • Provide notice through the Service (such as a banner or notification)
  • May send notice via email (if you have an account)

Your Responsibility to Review

It is your responsibility to review these Terms periodically for changes. Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms.

IF YOU DO NOT AGREE TO THE MODIFIED TERMS, YOU MUST STOP USING THE SERVICE IMMEDIATELY.

Material Changes

For material changes (such as modifications to arbitration provisions, limitation of liability, or other significant terms), we will provide at least 30 days' notice before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance.

11. DMCA Copyright Policy

FastPedia respects the intellectual property rights of others and expects users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and will respond to valid notices of copyright infringement.

Filing a DMCA Notice

If you believe that content on our Service infringes your copyright, please send a written notice to our designated DMCA agent at [email protected] with the following information:

  • Your physical or electronic signature
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the infringing material and its location on the Service
  • Your contact information (address, telephone number, email)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

Counter-Notification

If you believe content you posted was wrongly removed due to a DMCA notice, you may file a counter-notification containing the information specified in the DMCA.

Repeat Infringer Policy

We will terminate accounts of users who are determined to be repeat infringers of intellectual property rights.

12. Governing Law and Venue

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware and the federal laws of the United States, without regard to conflict of law principles that would result in the application of the laws of any other jurisdiction.

For any disputes not subject to arbitration (as described in Section 13), you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware, and waive any jurisdictional, venue, or inconvenient forum objections.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH FASTPEDIA AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US.

Agreement to Arbitrate

You and FastPedia agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (collectively, "Disputes") will be settled by binding individual arbitration, except as provided below. Arbitration uses a neutral arbitrator instead of a judge or jury, and is subject to very limited review by courts.

Exceptions to Arbitration

Either party may bring a lawsuit in court for the following limited purposes:

  • To enforce or protect, or seek relief for the infringement of, intellectual property rights
  • To seek injunctive or other equitable relief for violations of these Terms
  • Claims in small claims court (provided they remain in small claims court and are brought on an individual basis only)

Arbitration Rules and Procedures

The arbitration will be administered by JAMS (Judicial Arbitration and Mediation Services) under its Streamlined Arbitration Rules and Procedures, or if JAMS is unavailable, by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator will be bound by these Terms.

  • Location: Arbitration will be conducted in Delaware or, at your option, via telephone, video conference, or document submission
  • Arbitrator's Authority: The arbitrator may award any relief available in court, including monetary damages, injunctive relief, and declaratory relief
  • Decision: The arbitrator's decision is final and binding, subject to very limited review by courts
  • Confidentiality: Arbitration proceedings and results will be confidential

Costs and Fees

You and FastPedia will each be responsible for your own attorneys' fees and costs, except as required by applicable law or as otherwise determined by the arbitrator. FastPedia will pay your filing, administration, and arbitrator fees if your claim seeks less than $10,000, unless the arbitrator finds the claim frivolous.

CLASS ACTION WAIVER

YOU AND FASTPEDIA AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MULTIPLE PLAINTIFF, OR SIMILAR PROCEEDING ("CLASS ACTION").

YOU AND FASTPEDIA EXPRESSLY WAIVE ANY RIGHT TO:

  • Participate in a class action lawsuit
  • Participate in a class-wide arbitration
  • Consolidate claims with claims of any other persons
  • Bring representative claims on behalf of other users or the general public
  • Join or combine your claim with claims of others (unless the arbitrator authorizes multiple claims from the same law firm)

Unless you and FastPedia agree otherwise in writing, the arbitrator may not consolidate more than one party's claims and may not preside over any form of class action.

Opt-Out Right

You have the right to opt out of this arbitration agreement within 30 days of first accepting these Terms. To opt out, send written notice to [email protected] with the subject line "Arbitration Opt-Out" and include your name, address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, you and FastPedia will not be bound by this arbitration provision, but all other parts of these Terms will continue to apply.

Changes to Arbitration Provision

If FastPedia makes any material changes to this arbitration provision, you may reject the change by sending written notice within 30 days of the change to [email protected], in which case your account will be governed by the arbitration provision in effect when you first accepted these Terms.

Severability

If any portion of this arbitration provision is found to be unenforceable or unlawful, then (1) the unenforceable or unlawful provision will be severed, (2) severance will not impact the enforceability of the remaining provisions, and (3) the severed provision will be replaced with an enforceable provision that most closely reflects the original intent.

However, if the Class Action Waiver is found to be unenforceable, then this entire arbitration provision shall be null and void, and the Dispute must be brought in court.

Time Limit for Claims

You agree that any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred.

14. Miscellaneous Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and FastPedia regarding the Service and supersede all prior agreements, understandings, and communications, whether oral or written.

Waiver and Severability

No waiver by FastPedia of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by FastPedia to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions will not be affected or impaired in any way.

Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without FastPedia's prior written consent. FastPedia may freely assign, transfer, or delegate these Terms and its rights and obligations without restriction. Any attempted assignment by you in violation of this section shall be null and void.

Force Majeure

FastPedia shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, government actions, pandemics, internet or telecommunications failures, strikes, or equipment failures.

Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the Service. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or designated as a "terrorist supporting" country.

Electronic Communications

By using the Service, you consent to receiving electronic communications from FastPedia. These communications may include notices about your account, transactional information, and promotional messages. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

California Civil Code Section 1542 Waiver

If you are a California resident, you waive California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and FastPedia.

The headings and captions in these Terms are for convenience only and shall not affect their interpretation.
